Terms & Conditions

These Terms and Conditions govern your engagement with Anugerah's advisory services. Please read them carefully. By signing a service agreement or instructing us to begin work, you confirm that you have read and understood these terms and that they form part of the agreement between you and Anugerah.

1. Definitions

In these Terms and Conditions, the following words carry specific meanings:

  • "Agreement" means these Terms and Conditions, together with any service proposal, statement of work, or usage agreement signed by both parties.
  • "Anugerah", "We", "Us", or "Our" means Anugerah, an AI integration advisory practice operating from Suite 8-12, Plaza VADS, Jalan Tun Sambanthan, 50470 Kuala Lumpur, Malaysia.
  • "Client", "You", or "Your" means the organisation or individual engaging Anugerah's services.
  • "Services" means any of the advisory, audit, or stewardship services described in our service catalogue and in a signed service proposal.
  • "Deliverables" means written briefs, reports, quick-reference materials, and other outputs produced in the course of a service engagement.
  • "AI Assist" means any software tool, model, or workflow configured or recommended by Anugerah as part of a service engagement.
  • "CRM" means the client's customer relationship management system to which limited access may be granted for the purposes of a service engagement.
  • "Usage Agreement" means the separate written data and access agreement signed before any CRM or call-recording access is granted.

2. Acceptance of Terms

These Terms take effect when you engage Anugerah in writing — whether by signing a service proposal, sending a written instruction to begin work, or making payment for a service. By doing so, you confirm that:

  • You are at least 18 years of age, or are an authorised representative of an organisation with legal capacity to enter a binding agreement;
  • You have the authority to bind the organisation on whose behalf you are acting;
  • You have read and accepted these Terms in full.

3. Service Description

3.1 Overview

Anugerah provides AI integration advisory services focused on sales pipeline operations. Our three core services are:

  • Pipeline Listening Audit — a two-week reading of CRM data and a small set of recorded calls (with consent), culminating in a written brief identifying where a quiet AI assist may be appropriate.
  • Seller's Notebook Setup — a measured deployment of an AI assist that drafts meeting summaries, captures action items, and surfaces gentle nudges, under seller confirmation at all times.
  • Quarterly Sales Stewardship — an ongoing monthly advisory engagement reviewing AI assist usage and writing short briefs for the head of sales.

3.2 Availability

Services are delivered remotely and from our Kuala Lumpur office. All services are offered to clients based in Malaysia. Engagements outside Malaysia may be accepted at our discretion, subject to a separate agreement covering jurisdictional considerations.

3.3 What our services are not

Our advisory services do not constitute legal advice, financial advice, or regulated professional services. Recommendations are offered for the client's consideration; decisions about implementation remain with the client at all times.

4. User Responsibilities

4.1 Access and cooperation

You agree to provide timely access to the information, systems, and personnel reasonably necessary for us to deliver the agreed service. Delays caused by the unavailability of client-side access may affect delivery timelines, and Anugerah will not be responsible for any resulting impact on outcomes.

4.2 Accuracy of information

You are responsible for ensuring that any data, documentation, or CRM access credentials provided to us are accurate, current, and lawfully shareable. You warrant that you have the right to share any information you provide.

4.3 Acceptable use

You agree not to:

  • Use any AI Assist configured under an engagement to send communications to clients without the appropriate seller review and approval;
  • Repurpose or distribute our deliverables for resale, sublicensing, or competitive intelligence gathering;
  • Circumvent or override the consent and confirmation mechanisms built into any AI Assist we configure;
  • Provide access to our deliverables to individuals or organisations outside your organisation without written consent from Anugerah.

5. Intellectual Property

5.1 Our materials

All methodologies, frameworks, templates, and process documentation created by Anugerah remain our intellectual property. You are granted a non-exclusive, non-transferable licence to use deliverables for internal purposes within your organisation.

5.2 Client materials

Your CRM data, call recordings, and internal documentation remain your property at all times. We do not retain copies of client data beyond the engagement unless specifically agreed in writing.

5.3 Jointly developed outputs

Where an engagement produces outputs derived substantially from your proprietary data (for example, a tone calibration for your AI Assist), ownership of those outputs rests with you. We may retain a generalised, anonymised record of methodology applied, but not the output itself.

6. Payment Terms

6.1 Fees

Service fees are as stated in the accepted service proposal. Current published prices are:

  • Pipeline Listening Audit: RM 1,210
  • Seller's Notebook Setup: RM 1,090
  • Quarterly Sales Stewardship: RM 4,680 per year

All fees are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless otherwise noted.

6.2 Payment

Payment terms are stated in the service proposal. For project-based services, a deposit of 50% is typically required before work commences, with the balance due on delivery of the final deliverable. For the annual Stewardship service, fees are billed quarterly in advance.

6.3 Late payment

Invoices not settled within 30 days of the due date may attract late payment charges at 1.5% per month on the outstanding balance. We will seek to resolve any payment concerns informally before applying charges.

6.4 Refunds

If we are unable to deliver a service for reasons within our control, you are entitled to a full refund of any sums paid for that service. Refunds are not available once a deliverable has been accepted or once the supervised pilot period has commenced for the Seller's Notebook Setup service. 7. Service-Specific Terms

7.1 Pipeline Listening Audit

This service requires access to a defined sample of CRM records and, where applicable, a small set of recorded calls provided by the client with seller and participant consent. The scope of CRM access and the call sample size are agreed in writing before work begins. The deliverable is a written brief; it is advisory in nature and does not bind the client to any course of action.

7.2 Seller's Notebook Setup

Deployment of an AI Assist under this service is governed by a separate Usage Agreement that covers data handling, access scope, seller consent, and decommissioning. The four-week supervised pilot involves up to three nominated sellers. Changes to the pilot scope beyond what is agreed in writing may be subject to additional fees. The AI Assist will not send external communications without seller review; this constraint is maintained by design and must not be altered by the client.

7.3 Quarterly Sales Stewardship

This is a recurring annual service billed quarterly. The engagement includes one monthly review session (conducted remotely), a written brief each month, one quarterly listening session with frontline sellers, and an annual written reflection. Either party may terminate the engagement with 60 days' written notice; the client will not be charged for periods beyond the notice period in which no services are rendered.

8. Confidentiality

Both parties agree to treat all non-public information shared during an engagement as confidential. Anugerah will not disclose your business data, pipeline information, or internal documentation to third parties without your written consent, except as required by law. This obligation survives termination of the engagement for a period of three years.

We may mention your organisation's name as a client reference (without disclosing engagement details) unless you request otherwise in writing before the engagement concludes.

9. Disclaimers

Services are provided in good faith and to a professional standard, but Anugerah does not warrant that any AI Assist recommendation will produce specific commercial outcomes. Sales performance depends on many factors outside our scope, and we do not make forward-looking commitments about revenue, deal velocity, or seller productivity improvements.

Our deliverables reflect careful observation and advisory judgement, not a guarantee of results. Implementation decisions rest with the client.

10. Limitation of Liability

To the extent permitted by Malaysian law, Anugerah's total liability to you in connection with any service engagement is limited to the fees paid for the specific service to which a claim relates.

We shall not be liable for:

  • Loss of revenue, profit, or business opportunity;
  • Indirect or consequential losses;
  • Losses arising from your reliance on our deliverables without appropriate internal review;
  • Damage to systems or data caused by circumstances outside our reasonable control.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot lawfully be excluded under Malaysian law.

11. Indemnification

You agree to indemnify and hold Anugerah harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of any deliverable or AI Assist, or any inaccuracy in information you provided to us. This indemnification obligation does not apply to losses caused by Anugerah's own negligence or breach.

12. Termination

12.1 By either party

Either party may terminate a project-based engagement at any time by written notice. Where termination occurs mid-project, the client will be invoiced for work completed to the date of notice. No further fees will be due for work not yet commenced.

12.2 By Anugerah

We reserve the right to suspend or end an engagement if the client breaches these Terms and the breach is not remedied within 14 days of written notice.

12.3 Survival

Sections covering intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination of any engagement.

13. Dispute Resolution

13.1 Governing law

These Terms are governed by the laws of Malaysia. Any dispute will be subject to the exclusive jurisdiction of the courts of Malaysia.

13.2 Informal resolution

We would rather talk through a concern than litigate one. If a dispute arises, please contact us first at [email protected]. We will acknowledge your concern within five business days and attempt to resolve it informally within 30 days.

13.3 Mediation

If informal resolution is not possible, both parties agree to attempt mediation before commencing legal proceedings, unless the matter involves urgent injunctive relief.

14. General Provisions

  • Entire agreement. These Terms, together with any signed service proposal and Usage Agreement, constitute the entire agreement between the parties in respect of the services described. They supersede all prior discussions, representations, or agreements.
  • Severability. If any provision of these Terms is found unenforceable, the remainder of the Terms continues in effect.
  • Waiver. Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in the event of a business transfer or restructuring.
  • Notices. Formal notices should be sent to us by email at [email protected] or by post to our registered address. Notices sent by email take effect on the next business day following transmission.

15. Changes to Terms

We may update these Terms from time to time to reflect changes in our services, applicable law, or our practices. When we do, we will update the "Last Updated" date at the top of this page. For ongoing service engagements, we will give you at least 30 days' notice of any material change. Continued use of our services after that period constitutes acceptance of the revised Terms.
